Introduction

These Terms of Use (the “Agreement”) constitute a legally binding agreement between you (“user,” “you,” “your”) and PassiveApp.com (“Passive App”, “PassiveApp”, “Passive”, “we”, “us”, “our”). This Agreement governs your access to and use of the Passive App application (the “Application”) on any device, including computers, mobile phones, or other electronic devices. By installing the Application and selecting “I agree with Terms of Use,” you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy, including any future amendments.

Please read this Agreement carefully. It outlines your rights, obligations, and remedies and includes limitations, exclusions, and a dispute resolution provision. If you do not agree to these terms, do not install or continue to use the Application, and promptly uninstall it from your device.

Eligibility

You are not permitted to use the Application if:

You are not of legal age in your country of residence or otherwise lack the capacity to form legally binding contracts. In such cases, you may only use Passive App with the consent of a parent or legal guardian, provided to us through Passive App Support prior to installation.
Your use of the Application or similar services is prohibited by applicable law, including the laws of your country of residence or where you use the Application.
You are restricted from entering into similar agreements due to contractual obligations with your internet or mobile service provider, including those related to sharing your device’s internet traffic, IP address, or resources.
You are developing or have developed a competing product and intend to use the Application for competitive or reverse engineering purposes, such as monitoring its functionality, performance, or reverse engineering it’s code.

Amendments to the Agreement

We reserve the right to modify this Agreement or adjust pricing details at any time. Updates will be posted on our website, and changes will take effect immediately upon posting. Your continued use of the Application after such notice constitutes your acceptance of the updated Agreement. If you do not agree with the changes, your sole remedy is to terminate this Agreement by ceasing your use of the Application.

Overview of Passive App

Passive App has developed technology that allows users to share their internet traffic with us and our clients via their device. By installing the Application, your device acts as a gateway, allowing Passive App and its clients to route traffic through your internet connection.
Users can monetize their shared internet traffic by configuring their devices as gateways. Clients, including businesses involved in analytics, market research, cybersecurity, and other fields, use this shared traffic.
By installing the Application and agreeing to this Agreement, you acknowledge that you are providing Passive App and its clients access to your device’s internet traffic for monetization purposes.

Key Definitions

Dashboard: The central hub for communication between Passive App and its users, providing information on earnings, account status, and important updates.
Application: The latest version of the Passive App software, including all updates, upgrades, and modifications made available to users.
Shared Traffic: The internet traffic that a user shares with Passive App and its clients through the user’s device.
Earnings: Compensation earned by users based on the amount of shared traffic, calculated according to Passive App’s pricing rules.
Clients: Businesses that use the shared traffic to gather publicly available web data for various purposes, including market analysis and ad verification.

Usage of the Application

By installing and using the Application, you agree to become part of Passive App’s network, where you will share your internet traffic in exchange for compensation. You understand that:

Your shared traffic may be used by Passive App’s clients for various purposes, including but not limited to, ad verification, data gathering, accessing streaming services, or other use cases.
You may experience some interruptions in your internet usage, such as increased captcha requests or temporary disruptions in accessing streaming platforms if a client is using your traffic for that purpose.
Passive App may limit your traffic sharing to protect network stability or prevent overuse of resources.

While we make reasonable efforts to minimize any adverse impact on your internet experience, you are responsible for ensuring that your use of Passive App complies with all applicable laws, regulations, and third-party agreements.

Responsibility for Use

The Passive App Application is provided “as is,” without any warranties, whether express or implied, to the fullest extent permitted by applicable law. By using the Application, you acknowledge that you do so at your own risk. You bear full responsibility for ensuring your eligibility to use the Application and for sharing your internet traffic in compliance with all applicable laws and agreements.

We make no guarantees regarding the results or outcomes of using the Application. Passive App does not warrant that the Application or any potential earnings are accurate, complete, reliable, or free from errors. Additionally, we cannot guarantee that your device will operate without technical malfunctions while using the Application.

External Service Providers

You are responsible for any internet or data usage charges incurred while using the Application. Passive App is not liable for any fees or additional costs imposed by your internet or mobile service provider related to the use of shared traffic or other services. Additionally, some service providers may restrict or prohibit the use of applications like Passive App. It is your responsibility to verify that using Passive App complies with your service provider’s rules and agreements.

Content Provided by Passive App and Third Parties

All content and materials provided through the Passive App website, including any blog posts, are made available “as is” without warranties of any kind. We disclaim all representations or warranties regarding the accuracy, completeness, or reliability of this content. The content provided on our website or blog is for informational purposes only and should not be construed as professional advice.

The Passive App website may contain links to third-party websites. We disclaim any responsibility or liability for the content, accuracy, or availability of such third-party websites. You understand that by clicking on third-party links, you are leaving our website, and you access such websites at your own risk. We recommend reviewing the terms of use of any third-party website you visit.

If you have any specific concerns about taxes, technology, or internet services related to using Passive App, you should seek independent professional advice.

Earnings and Withdraws

Minimum Withdrawal: Once your earnings reach the minimum withdrawal threshold of $5 (or its equivalent in your local currency), you can request a payout through your Dashboard. We reserve the right to change the minimum withdrawal amount at any time.
Payout Process: To receive your payout, you may be required to validate your email and provide necessary personal information or documentation to Passive App and its payment service providers. You are solely responsible for ensuring that this information is accurate and up-to-date. Failure to provide the required information or providing incorrect information may result in an inability to receive your earnings. Additionally, payouts may not be possible if your country does not support any of the payment methods offered by Passive App. Where applicable, Passive App reserves the right to deduct or withhold taxes or other amounts as required by law or payment service provider rules.
Tax Responsibility: You are solely responsible for paying all taxes associated with receiving earnings from Passive App in your country of residence.
Dispute Period: Any claims regarding inaccurate earnings or payouts must be submitted to us within 60 days of the payout request. Claims received after this period will not be considered.

Referral Program

Passive App offers additional earnings for referring new users to the Application. You will become a referrer once your invited third party registers for the Application using your referral link. The invited individual will be considered a referee.

Referral earnings will be displayed alongside your personal earnings in the Dashboard and are subject to the same payout rules as outlined above.

General Obligations

In addition to the obligations set forth in this Agreement, you also agree to the following:

Accuracy of Information: You agree to maintain the accuracy of any information you provide and to update it promptly to keep it true, accurate, and complete. This information may be displayed in the Dashboard or other parts of the Application. If the information you provide is or appears to be false, outdated, or incomplete, Passive App reserves the right to suspend or terminate your account and invalidate any earnings accrued during your use of the Application.
Legal Use: You agree not to use the Application in any manner that would violate any applicable laws, rules, or regulations.
Account Security: You are responsible for maintaining the confidentiality of your account and credentials. Your account may not be shared with others, and you are permitted to have only one account.
Account Activity: You are responsible for all activities that occur under your account. In the event of any unauthorized use or security breach, you must notify Passive App immediately.
Risk and Responsibility: You accept all risks and responsibility for activities, charges, transfers, and any damages related to the use of your account, including those associated with sharing your internet traffic.
Prohibition of Exploitation: You agree not to reproduce, copy, sell, trade, resell, or exploit any part of the Application for commercial purposes without prior written consent.
Device Ownership: You agree to install and use the Application only on devices you personally own. Using the Application on devices not exclusively owned by you is a violation of this Agreement.
Violation and Termination: If your use of the Application violates this Agreement or applicable law, Passive App may block your access, and you must cease using the Application immediately and delete it from your devices.
Shared IP Address: You acknowledge that traffic sent through the same public IP address will be distributed among all devices using that same IP address.

General Restrictions

Unless expressly authorized in writing by Passive App, you may not:

Copy, reproduce, license, distribute, publicly perform, or display any part of the Application; reverse engineer or attempt to extract the source code; claim ownership rights; or exploit the Application for unauthorized commercial purposes.
Modify, edit, alter, or create derivative works of the Application.
Attempt to interfere with the operation of Passive App, disrupt other users, or access another user’s account by unauthorized means.
Cheat, defraud, mislead, manipulate or deceive Passive App to accrue earnings fraudulently.
Falsely increase shared traffic.
Connect more devices to Passive App’s network than allowed.
Upload or transmit any material containing viruses, malware, or other harmful software.
Impersonate any individual or entity or misrepresent your identity or affiliation.

Intellectual Property

You acknowledge that Passive App owns all rights to the Application, Dashboard, website, and associated materials, including any updates or modifications. These are protected by intellectual property laws. You do not gain any ownership or rights to this intellectual property by using the Application, except for a limited, revocable right to use the Application as permitted under this Agreement.

If you provide feedback, suggestions, or features to Passive App, we are granted a worldwide, royalty-free, perpetual license to use that feedback, feature request, or suggestion in any manner, including incorporating it into future products or services, without further compensation to you.

License

The Application is provided for your personal, non-commercial use. Subject to your compliance with this Agreement, you are granted a limited, non-exclusive, revocable, and non-transferable license to access and use the Application, including downloading and installing a copy on your devices. Any unauthorized use of the Application will result in the termination of this license.

Limitation of Liability

In no event shall either party be liable for any indirect, incidental, special, or consequential damages arising out of this Agreement, including, but not limited to, loss of earnings, data, or profits, even if advised of the possibility of such damages.

Class Action Waiver

Where allowed by applicable law, you and Passive App agree that any claims against each other must be brought in individual capacity and not as part of a class or collective action. No judge or arbitrator may consolidate more than one person’s claims.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of United States. Any disputes arising under or related to this Agreement will be subject to the exclusive jurisdiction of our choosing unless alternative dispute resolution is agreed upon by the parties.

Entire Agreement

This Agreement represents the entire understanding between the parties concerning the subject matter and supersedes any prior agreements, discussions, or communications.

Confidential Information

“Confidential Information” refers to non-public, business-related information disclosed to you by Passive App. You agree not to copy, disclose, or misuse any Confidential Information to which you have access.

Term and Termination

This Agreement commences on the date you accept its terms and continues until terminated. Either party may terminate this Agreement at any time. You may terminate it by deleting your account and the Application from your devices.

Miscellaneous

Failure to enforce any provision of this Agreement does not constitute a waiver of that provision. If any part of this Agreement is found to be unenforceable, the remaining provisions will remain in effect. You may not assign your rights under this Agreement without our prior written consent. We reserve the right to assign this Agreement to any affiliate or in connection with a sale of our business with notice to you.
